Sunny Budget Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Sunny Budget (the “Service”), including our website, web application, and related features.

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Sunny Budget is a software tool designed to help users organize, visualize, and understand financial information, including budgets, transactions, attachments, and cash-flow projections.

Sunny Budget is not a bank, accountant, financial advisor, investment advisor, broker, tax advisor, legal advisor, or fiduciary. Nothing in the Service constitutes professional advice of any kind.

All outputs are provided for informational purposes only. You are solely responsible for verifying information and for any decisions you make based on your use of the Service.

3.1 Free Services

Certain features of the Service may be offered free of charge. Free features are provided “as is” and “as available,” with no guarantee of availability, reliability, support, or continued operation.

We may modify, suspend, or discontinue free features at any time without notice.

3.2 Paid Services (Future Use)

We may, now or in the future, offer paid features, subscriptions, or services (“Paid Services”).

If you choose to use Paid Services:

• Fees, billing terms, and renewal conditions will be disclosed at the time of purchase
• Payments are non-refundable except where required by law
• We may modify pricing or offerings with reasonable notice

Failure to pay applicable fees may result in suspension or termination of Paid Services.

4.1 Age Requirement

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Service.

4.2 United States Only

The Service is intended for use only by individuals physically located in the United States.

By using the Service, you represent that you are physically located in the United States and lawfully present. We do not actively verify location, and availability outside the United States does not constitute permission to use the Service.

5.1 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

5.2 Zero-Knowledge Architecture and Password Loss

Sunny Budget uses a zero-knowledge security design. This means:

• Your password is not stored in recoverable form
• We cannot reset, retrieve, or bypass passwords
• Loss of your password permanently eliminates access to your account and encrypted data

This is intentional. You accept full responsibility for safeguarding your credentials.

5.3 Account Deletion

If you lose access to your account, you may request deletion by emailing from your registered email address. Upon verification, your encrypted vault will be deleted from production systems.

Encrypted backups may persist temporarily for disaster recovery and are overwritten on a rolling basis. We cannot restore access or decrypt data under any circumstances.

Our Privacy Policy explains how information is collected and used and is incorporated into these Terms.

Your data is encrypted, and we do not hold the keys to decrypt it. No system is perfectly secure. You acknowledge and accept the risk of unauthorized access, data loss, or security incidents.

Nothing in these Terms limits rights that cannot be waived under applicable law.

You retain ownership of content you submit (“User Content”). You represent that you have the right to provide it and that it does not violate any laws or third-party rights.

You grant Sunny Budget a limited license to store and process User Content solely to operate the Service.

The Service may use automation or artificial intelligence to categorize transactions or generate forecasts. These outputs may be inaccurate or incomplete and must be independently verified before reliance.

The Service may integrate with third-party providers. We do not control and are not responsible for third-party services, which are governed by their own terms.

You agree not to misuse the Service, interfere with its operation, violate laws, infringe rights, introduce malicious code, scrape data, share credentials, or attempt to reverse engineer the Service.

Beta features may change, malfunction, or cause data loss. Use of beta features is entirely at your own risk.

The Service is provided “as is” and “as available.”

To the maximum extent permitted by law, Sunny Budget disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, and uninterrupted operation.

To the maximum extent permitted by law:

• Sunny Budget shall not be liable for any indirect, incidental, consequential, special, or punitive damages
• Sunny Budget shall not be liable for data loss, financial decisions, service interruptions, or AI inaccuracies
• Total aggregate liability shall not exceed the greater of ten U.S. dollars ($10) or the amount paid by you to Sunny Budget in the twelve (12) months preceding the claim

These limitations do not apply to liability that cannot be excluded under applicable law.

You expressly assume all risks associated with your use of the Service, including data loss, financial decisions, credential compromise, service interruptions, and automation errors.

You agree to indemnify and hold harmless Sunny Budget from claims arising out of your use of the Service, User Content, or violation of these Terms.

16.1 Informal Resolution

You must attempt to resolve disputes informally by contacting us for sixty (60) days before filing a claim.

16.2 Small Claims Court

Eligible disputes shall be brought exclusively in small claims court in Hennepin County, Minnesota.

16.3 Class Action Waiver

Disputes must be brought on an individual basis only. Class actions are waived.

16.4 Jury Trial Waiver

You waive any right to a jury trial to the extent permitted by law.

16.5 Time Limitation

Claims must be brought within one (1) year of accrual.

These Terms are governed by Minnesota law. Any non-small-claims action shall be brought in state or federal courts located in Hennepin County, Minnesota.

The Service and its content are owned by Sunny Budget or its licensors. No rights are granted except as expressly stated.

Feedback may be used without restriction or compensation.

We may suspend or terminate access at any time. Upon termination, your right to use the Service ends immediately.

Sections concerning security, data, liability, indemnification, disputes, and governing law survive termination.

We may update these Terms at any time by posting revised Terms. Continued use constitutes acceptance.

If any provision is unenforceable, it shall be modified or severed without affecting the remainder.

Failure to enforce any provision does not constitute waiver.

You may not assign these Terms. We may assign them freely.

These Terms and the Privacy Policy constitute the entire agreement between you and Sunny Budget.
